PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ACCESSING OR PARTICIPATING IN SLING REWARDS, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE INCLUDING BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES WITH US PER THE SLING TERMS OF USE. THIS MEANS YOU GIVE UP JURY TRIALS OR CLASS ACTIONS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PARTICIPATE IN SLING REWARDS.

Section 1: Acceptance of Sling Rewards Terms and Conditions

These Terms and Conditions apply to your access to, and participation in, Sling Rewards which Sling TV L.L.C. and its affiliates (referred to as, “we,” “us,” “our,” or “Sling TV”) operate. Your access, and participation in, Sling Rewards is conditioned on your acceptance of these Terms and Conditions. By participating in Sling Rewards you agree that we may collect, use, process, share, and disclose information about you and your participation in Sling Rewards in accordance with our Privacy Notice. These Terms and Conditions do not alter in any way the terms or conditions of any other agreement you may have with Sling TV for other products or services.

Please note that the terms and conditions contained herein include embedded hyperlinks that may only be accessed through our websites. Section 2: About Sling Rewards

Welcome to Sling Rewards! Our goal is to provide you with the ultimate streaming experience, and Sling Rewards is just another way we are delivering on that promise. Sling Rewards eligible participants are able to participate in a variety of Watch & Win and Spin & Win sweepstakes (collectively, the “Sweepstakes” or “Rewards Sweepstakes”), each governed by a separate set of official Sweepstakes Rules. By participating in a Rewards Sweepstakes, you will be subject to the applicable Sweepstakes Rules, and you agree to comply with and abide by such and the decisions of Sling TV and its representatives or the applicable Sweepstakes administrators. You may be asked to provide additional information, including personal information, to receive prizes as part of a Sweepstakes.

Section 3: Eligibility

To join and participate in Sling Rewards, you must:

Be a U.S. citizen or U.S. resident alien;
Be physically located in one of the 50 United States or the District of Columbia;
Be age eighteen (18) or older (19 or older in AL and NE, 21 or older in MS) and the age of majority in your place of residence;
Be a current active Sling TV Account holder (includes Sling Orange + Blue, Sling Orange, Sling Blue, and Sling Freestream account holders) with an account in good standing as determined by Sling TV in its sole discretion. If your Sling TV account is held jointly, only the first named individual account holder will be eligible to participate in Sling Rewards.

Participants who meet the above eligibility criteria may be prompted to enter into the Sweepstakes by an opt-in message when you sign on to the Sling app, or you may enter by clicking on the opt-in toggle under Sling Rewards in the Sling Settings. Participants are responsible for keeping their email address up to date and private. Sling TV is not responsible for any undeliverable notifications, account security violations, or if a person redeems prizes that are not their own. If you wish to opt out of any Sling Rewards, please go to the profile icon on your account and click on "Sling Rewards". From there you can follow the instructions to opt-out of Sling Rewards. Opting out of Sling Rewards will not affect your Sling TV customer status. Sling Rewards is intended for personal use only. Commercial use is prohibited.

By participating in Sling Rewards, you agree to indemnify and hold harmless Sling TV from and against any and all liability arising out of or relating in any way to your participation in Sling Rewards and to release all rights to bring any claim, action or proceeding against Sling TV. This includes, but is not limited to, any and all claims, demands, damages and causes of action for personal injuries or death and/or damage to personal or real property, theft, loss or any other harm, suffered directly or indirectly from your participation in Sling Rewards or the receipt or acceptance, redemption, possession, use or misuse of Sling Rewards, and for any claim including claims based on defamation, publicity rights, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property related or other cause of action.

Section 4: Earning Watch & Win Sweepstakes Entries and Spin & Win Prizes

To earn Watch & Win Sweepstakes entries, each individual day of the applicable Sweepstakes period that you watch at least thirty (30) minutes of content on the Sling platform you will receive ten (10) entries into the Watch & Win Sweepstakes, subject to the limit below and taking into account Streaks. On subsequent days, simply watch at least 30 minutes of content and your entries will be automatically tracked, during the Sweepstakes period.

During the Sweepstakes period, the first day you participate as described above, the number of entries you earn will be ten (10). If you earn entries the very next day, you will receive twenty (20) entries (for day #2 of your “Streak”), and so forth up to consecutive day #7, for which you will earn seventy (70) entries. After a day that you do not earn any entries, or after any consecutive day #7 (if any), you will restart at ten (10) entries per day that you watch at least thirty (30) minutes of content on the Sling platform and your Streak will start again, through the end of the Sweepstakes period. This is referred to as a “Streak” for purposes of these Official Rules and the awarding of entries. Entries earned are subject to the limit stated below. There is a limit of ten (10) to seventy (70) entries per person per day of the Sweepstakes period, depending on the Streak mechanism (for the watching content method of entry).

Spin & Win is a new component of Rewards that is currently available in Beta to select users as we roll it out to the entire customer base. Spin & Win allows for eligible customers to play a spin on the Spin & Win wheel after watching 30 minutes of TV. The wheel includes various prizes including discounts on Sling and entries into a Spin & Win exclusive Sweepstakes. To play Spin & Win, you must use the Sling mobile app. Visit the “Rewards” section of the Sling mobile app and tap on the “Play Spin” button to use your unexpired play within 24 hours of earning it. By playing the game, you are agreeing to the Official Rules, which are hyperlinked below the Prize Wheel. When the game play is completed, you will be notified if you are a potential instant winner in the game or a non-winner. You are not a winner of any prize even if the notification should so indicate, unless and until your eligibility and the winning game has been verified and you have been notified that verification is complete. The very first time you play the game, you will receive 100 Watch & Win Sweepstakes entries.

Section 5: General Terms

Sling Rewards can be terminated at any time at the sole discretion of Sling TV. Sling TV is not responsible if Sling Rewards cannot take place, or if any prize cannot be awarded due to cancellations, delays, interruptions or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, actual or threatened public health crises (including without limitation an epidemic or pandemic), strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of Sling TV. If, for any reason Sling Rewards is not capable of running as planned, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of Sling TV, which, in Sling TV’s sole determination, corrupts or affects the administration, security, fairness, integrity or proper conduct of Sling Rewards, Sling TV reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend Sling Rewards or any part of Sling Rewards. If Sling Rewards or any part of Sling Rewards is terminated or modified, notice will be posted on https://www.sling.com/rewards/terms-conditions. Any unredeemed prizes at the time of Sling Rewards termination or modification may be void and no longer have value. Sling TV shall have no liability for any unredeemed prizes at the time of termination. Failure by Sling TV to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision.

Sling TV assumes no responsibility for and will disqualify entries that are: invalid, altered, tampered with, unauthorized, fraudulent, or misdirected, whether caused by any of the equipment or programming associated with or utilized in Sling Rewards, or by any human, mechanical or electronic error that may occur in the processing of Sling Rewards. Sling TV assumes no responsibility for any typographical or other error in the administration of Sling Rewards, errors in processing prizes, and the delivery of prizes, any problems or technical malfunction of any telephone network or lines, mobile phone, computer systems, online systems, servers or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or on any website, or any combination thereof, including, without limitation, any injury or damage to participant’s or any other person’s computer system/software or mobile phone or other portable electronic device related to or resulting from participation or downloading any materials in Sling Rewards. Use of any device to automate or subvert the earning of entries or redemption of prizes is prohibited and any entries or prizes received by such means will be void. No software-generated, robotic, programmed, script, macro or other automated entry earnings or prize redemptions are permitted, and any redemption requests received by such means will be void. Sling TV reserves the right in its sole discretion to disqualify any person they suspect or find: (i) to have used a software generated, robotic, programmed, script, macro or other automated system; (ii) to have tampered with the process or the operation of Sling Rewards; (iii) to be acting in a disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; (iv) to display behavior that will bring such participant or Sling TV into disgrace; (v) to have provided inaccurate information on any legal documents submitted in connection with Sling Rewards; or (vi) to be acting in violation of these Terms and Conditions. ANY VIOLATION OF THESE TERMS AND CONDITIONS BY A PARTICIPANT WILL RESULT IN SUCH PARTICIPANT’S DISQUALIFICATION FROM SLING REWARDS AND ALL SUCH PRIVILEGES WILL BE IMMEDIATELY TERMINATED.

Except as provided herein, the failure to exercise a right or require performance of an obligation under this Agreement shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute waiver of any subsequent breach. Any provisions of this Agreement which by their express language or by their context are intended to survive the termination of this Agreement shall survive such termination.

Section 6: Indemnification

You hereby agree to indemnify, defend, and hold Sling TV and its parents and affiliates, each of its and their present and future media providers, device providers, business partners, service providers, licensors, contractors, subcontractors, authorized distributors, authorized subdistributors, authorized retailers, directors, members, managers, officers, agents, employees, and other participant, and each of their respective assigns, heirs, successors, and legal representatives harmless from, against, and with respect to any and all actions, claims, disputes or demands, including reasonable attorneys’ fees and costs, that are incurred in connection with, arising out of, or relating to access to or use of our Services by you or in connection with your Membership Account, including any participant thereof, your connection to our Services, your devices, your violation of these Terms and Conditions, or your violation of any rights of another participant.

Section 7: Dispute Resolution, Arbitration Agreement and Class Action Waiver

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH SLING REWARDS OR UNDERMINE THE CONTENT OR THE LEGITIMATE OPERATION OF SLING REWARDS MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, SLING TV WILL DISQUALIFY ANY SUCH PERSON, AND SLING TV RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON OR PERSONS TO THE FULLEST EXTENT PERMITTED BY LAW.

ANY DISPUTE ARISING OUT OF THIS AGREEMENT OR SLING REWARDS IS SUBJECT TO BINDING ARBITRATION ON AN INDIVIDUAL BASIS PURSUANT TO THE PROVISION CONTAINED IN THE SLING TERMS OF USE. THIS MEANS YOU GIVE UP JURY TRIALS OR CLASS ACTIONS.

IN THE EVENT PARTICIPANT ATTEMPTS TO BRING A CLAIM, ACTION OR PROCEEDING AGAINST SLING TV DESPITE AGREEING NOT TO DO SO IN THE ELIGIBILITY SECTION OF THESE TERMS AND CONDITIONS, AS A CONDITION OF PARTICIPATING IN SLING REWARDS, PARTICIPANT AGREES THAT: (I) UNDER NO CIRCUMSTANCE WILL PARTICIPANT BE PERMITTED TO OBTAIN AWARDS FOR, AND PARTICIPANT HEREBY WAIVES ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR ANY OTHER DAMAGES, OTHER THAN FOR OUT-OF-POCKET EXPENSES; (II) PARTICIPANT WAIVES THE RIGHT TO A JURY TRIAL OF ANY AND ALL ISSUES AND THAT ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH SLING REWARDS, OR ANY TOKENS OR REWARDS AWARDED, SHALL BE RESOLVED INDIVIDUALLY -- WITHOUT RESORT TO ANY FORM OF CLASS ACTION -- BY BINDING ARBITRATION (BY A SINGLE NEUTRAL ARBITRATOR SELECTED BY SLING TV IN ITS SOLE AND ABSOLUTE DISCRETION) ; AND (III) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, BUT IN NO EVENT SHALL SUCH CLAIMS, JUDGMENTS OR AWARDS INCLUDE ATTORNEYS' FEES. SLING REWARDS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF COLORADO.

Section 8: Governing Law

These Terms and Conditions, including all matters relating to their validity, construction, performance, and enforcement, and any claim, complaint, or dispute arising out of or related to these Terms and Conditions, your relationship to Sling TV, and/or otherwise related to our Services will be governed by the laws of the State of Colorado without giving effect to its conflict of law provisions. If any provision in these Terms and Conditions is declared to be illegal, invalid, or is otherwise in conflict with any law, then such provision will automatically be considered modified to the minimum extent necessary to make such provision legal, binding, and no longer in conflict with such law, without affecting the validity of any other provisions of such Terms and Conditions, and any and all other provisions will remain in full force and effect to the fullest extent permitted by law.

You agree that any action at law, in equity, under contract (including under these Terms and Conditions), or otherwise that is excluded from, or otherwise not subject to arbitration or small claims court must be filed, and that venue properly lies, only in the state or federal courts located in the city and county of Denver, Colorado, United States of America and you hereby irrevocably consent and submit to the personal jurisdiction of such courts for the purpose of litigating such action.

Section 9: Changes to Sling Rewards

Sling TV reserves the right to change or modify these Terms and Conditions or any policy, FAQ, offer, promotion, benefit or guideline pertaining to Sling Rewards, in whole or in part, at any time and in its sole discretion. Any changes or modifications will be effective immediately and may be posted to https://www.sling.com/rewards/terms-conditions, so please check back from time to time. You waive any right you may have to receive specific notice of such changes or modifications, and your continued access to or participation in Sling Rewards following any such changes or modifications confirms your acceptance. If you do not agree to these Terms and Conditions, you must opt-out of Sling Rewards by emailing rewards-opt-out@sling.com with the subject line "Sling Rewards Opt-out” or go to the profile icon on your account, click on "Sling Rewards," and follow the instructions to opt-out of Sling Rewards.
